Type C stock for asset acquisition

A C reorganization is a transaction in which one corporation acquires substantially all of the properties of another corporation solely in exchange for voting stock. The exchange is for all or part of the voting stock of the acquiring corporation or the corporation in control of the acquiring corporation (i.e., the parent). The acquiring corporation must own, immediately after the reorganization, at least 80 percent of the target’s voting power.
