Type “A” reorganizations are classic mergers: statutory combinations or consolidations of two or more corporations into a single entity. Type A reorganizations are also the most flexible of tax-free reorganizations. The merger or consolidation must proceed under statutory authority, and the transaction must meet the regulatory continuity of interest and continuity of business enterprise standards.
